The Company reserves the right to modify, alter and change the Terms of Use or its policies related to the Service at any time as it deems fit. Such modifications, alterations and/or changes to the Terms of Use or its policies related to the Service shall be made upon the posting of an updated version onhttps://www.neeconsultant.net. You agree that it is your responsibility to periodically review the Terms of Use and the Terms of Use applicable to any country in which you use the Service that may differ from the country in which you use the Service and your continued use of the Service after any such changes, whether without your review, shall constitute your agreement to and acceptance of such changes.
The Company provides information, support and methods for tuition, training and tutoring providers (“Service Providers”) to schedule, obtain and establish connections with clients (“Services”) but does not provide and does not intend to provide tuition, training and tutoring services for academic and enrichment purposes or act as a tuition operator or provider in any way and has no responsibility or liability for any tuition, training and tutoring services provided to clients by third-party Service Providers. The Company is not responsible for the actions and/or omissions of any third-party tuition, training and tutoring providers and/or any tuition, training and tutoring services provided to you.
Representations and Warranties
By using the Services, you expressly represent and warrant that you are legally entitled to accept and agree to the Terms of Use and that you are eighteen (18) years of age or older. Without limiting the generality of the foregoing, the Services are not available to persons under eighteen (18) years of age or persons who are prohibited from entering into contractual relationships for any reason. By using the Services, you further represent and warrant that you have the right, authority and capacity to use the Services and comply with the Terms of Use. You further confirm that all information you provide is true and accurate. Your use of the Services is for your personal use only. You undertake not to authorize others to use your identity or user status, and you may not assign or otherwise transfer your user account to any other person or entity. When using the Services, you agree to comply with all applicable laws, whether in your home country or elsewhere in the country, state and city where you are located when using the Services.
By using the Services, you agree that:
You will only use the Services for lawful purposes;
You will only use the Services for their intended purpose;
You will not use the Services for any purpose other than obtaining the Services;
You may not contact third-party service providers for purposes other than the Services;
You will not harm the normal operation of the Company;
You shall not intentionally or unintentionally cause or attempt to cause damage to third-party service providers;
You will not attempt to harm the Services in any way;
You will keep secure and confidential your account credentials or any identification we provide you with to allow access to the Services;
You will provide the Company with any proof of identity it reasonably requests or requires;
You agree to provide accurate, current and complete information necessary to provide the Services and are responsible for promptly maintaining and updating your information to keep it accurate, current and complete at all times during the term of this Agreement. You agree that the Company may rely on your information being accurate, current and complete. You acknowledge that if your information is untrue, inaccurate, not current or incomplete in any respect, the Company has the right but not the obligation to terminate this Agreement and your use of the Services at any time, with or without notice;
You shall not use any means to deceive the Company or encourage new or existing users to subscribe to or use the Services through any campaign, promotion or activity sponsored by the Company by any means, whether fraudulent or otherwise;
You may not damage or circumvent the normal working of the networks on which the Services operate;
You agree to provide the Services on a reasonable efforts basis; and
You agree that your use of the Service will be subject to the Company’s Privacy Policy, as it may be amended from time to time.
You agree to take full responsibility and liability for all losses or damages suffered by you, third-party service providers, the Company or any third party as a result of any violation of the Terms of Use.
Payment
You may choose to pay for the Services in cash or, if available, by credit and/or debit card (“Card”).
If the card belongs to someone else, such as your parents, you hereby warrant and agree that you have their permission to use the card to pay for the Services.
You agree that we can verify and authorise your card details when you first register a card with us and when you use the Services.
You agree that we may issue a reasonable authorization hold, which is not an actual charge to your card, to verify your payment method through your card. The hold may appear as "pending" on your statement. The authorization hold is a precautionary measure against any unauthorized or fraudulent use of your card.
If your card payment is processed overseas, you will be responsible for any additional charges associated with this.
The Company will invoice the Service Provider for the hours of service provided by you in the first week of each month after you have completed your use of the Services. You are required to pay the Company in full and your payment is non-refundable. If you have any complaints regarding the services provided, you must deal with the dispute directly with the Third Party Provider. Depending on the circumstances, the Company may act as a mediator between the Third Party Service Provider and the User.
If any error occurs in the transaction resulting in a rejection or chargeback by a financial institution, or if the Company reasonably believes that the Card has been used for a transaction that may be fraudulent, illegal or involve any criminal activity, or if the Company reasonably believes that you have violated the Terms of Use.
You agree that you will cooperate with any necessary financial crime screening and assist the Company in complying with any applicable laws or regulations.
You are solely responsible for resolving any disputes with your card company.
Tax
You agree that this Agreement shall be subject to all current statutory taxes, duties, fees, charges and/or costs, however denominated, which may be in effect and in relation to any future taxes that may be introduced at any time. You further agree to use your best efforts to do all that is necessary and required by applicable law to enable, assist and/or defend the Company in respect of any fees paid or in connection with the services provided under this Agreement.
Cancellation Fee
You may cancel your request for services at any time before you begin the services you request from a third-party service provider.
If you decide to cancel your reservation after booking or do not show up at the designated location, you may be required to pay a cancellation fee or other cancellation charges that the Company may notify from time to time, depending on Cancellation Policy.
If you believe a cancellation fee has been charged in error, you canhr@neecedu.com Contact the Company. The Company reserves the right at its absolute discretion as to any refund it may determine to provide to you, and such refund may be credited to the payment card you used for the Services or to such other cash payment method as the Company deems reasonable.
Intellectual Property Ownership
The Company and its licensors, as applicable, shall own all right, title and interest in and to the Services, including all associated intellectual property rights, and any suggestions, ideas, enhancement requests, feedback, recommendations, or other information provided by you or any other party relating to the Services. The Terms of Use do not constitute an agreement of sale and do not convey to you any ownership rights in or relating to the Services, or any intellectual property owned by the Company and/or its licensors. The Company name, Company logos, and Services are trademarks of the Company or third parties, and no right or license to use them is granted.
Confidentiality Agreement
You shall keep confidential all information and data relating to the Company, its services, products, business affairs, marketing and promotional plans or other business of the Company and its affiliates disclosed to you by or on behalf of the Company (whether orally or in writing and whether before, on or after the date of this Agreement) or obtained by you directly or indirectly from the Company or any of its affiliates, or created in the course of this Agreement. You shall further ensure that it and its officers, employees and agents use such confidential information only for the purpose of performing the services and shall not disclose such information to any third party or use it for any other purpose without the prior written consent of the Company. You shall disclose such information only to officers, employees and agents who need to know in order to perform their obligations under this Agreement.
The above confidentiality obligations do not apply if you can prove that the relevant information:
Already in your hands when you receive it;
is or will become public knowledge through your fault or omission;
is received from a third party who is entitled to disclosure; or
Disclosure Required by Law.
Personal Data Protection
You agree and consent to the collection, use, processing and disclosure of your Personal Data by the Company, its subsidiaries and any of its affiliates to send you any assignment notifications and other communications on behalf of third-party tuition and related service providers, to verify and process payments, refunds, rebates and charges, and as further described in our Privacy Policy (available at:
Third-party interactions
During your use of the Service, you may be able to communicate with, purchase goods and/or services from, or participate in promotions of third-party vendors, advertisers or sponsors through the Service. Any such activities, and any terms, conditions, warranties or representations associated with such activities, are solely between you and the applicable third party. The Company and its licensors assume no responsibility, liability or responsibility for any such communications, purchases, transactions or promotions between you and any such third parties. The Group does not endorse any applications or websites on the Internet that are linked through the Service, and in no event will the Company, its licensors or the Group be responsible for any content, products, services or other materials on or available from such websites or third-party providers. The Company provides the Services to you subject to the Terms of Use. However, you acknowledge that certain third-party service, goods and/or service providers may require you to agree to additional or different terms of use prior to your use or access of such goods or services, and that the Company is not and disclaims any and all responsibility and/or liability arising from such agreements between you and third-party providers.
The Company may rely on third-party advertising and marketing provided through the Services and other mechanisms to subsidize the Services and/or earn additional revenue. By agreeing to the Terms of Use, you consent to receive such advertising and marketing. If you do not want to receive such advertising, you should notify us in writing or in accordance with the procedures determined by the Company. The Company reserves the right to charge you higher fees or deny you access to the Services if you opt out of receiving these advertising services. You consent and allow the Company to compile and publish information about you and your use of the Services on an anonymous basis as part of a customer profile or similar report or analysis. You agree that it is your responsibility to take all precautions in all actions and interactions with any third-party shipping providers, other third-party providers, advertisers and/or sponsors with whom you interact through the Services and/or advertising or marketing materials provided through the Services.
Assure
By agreeing to the Terms of Use when using the Service, you agree that you shall defend, indemnify and hold harmless the Company, its licensors and each of their parent organizations, subsidiaries, affiliates, officers, directors, members, employees, attorneys and agents from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs and/or regulatory actions) arising out of or related to: (a) your dealings with third-party merchants, service providers, third-party providers, partners, advertisers and/or sponsors, or (b) your breach or violation of any of the Terms of Use or any applicable laws or regulations, whether or not referenced herein, or (c) your violation of any rights of any third party, including third-party transportation providers arranged through the Service, or (d) your use or misuse of the Service, including if you commit any fraud or misrepresent any information you provide.
Disclaimer
The Company makes no representations, warranties or guarantees regarding the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Service. The Company does not represent or warrant that (a) use of the Service will be secure, timely, uninterrupted or error-free or work in combination with any other hardware, software, system or data, (b) the Service will meet your requirements or expectations, (c) any stored data will be accurate or reliable, (d) the quality of any products, services, information, rewards or other material purchased or obtained by you through the Service will meet your requirements or expectations. The Service and Rewards are provided to you strictly on an "as is" basis. All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose or non-infringement of third party rights, are hereby excluded and disclaimed to the maximum extent possible.
The Company makes no representations, warranties or guarantees regarding the reliability, security, timeliness, quality, suitability or availability of any services and/or rewards, including but not limited to third-party transportation or other services and products obtained by or from third parties through the use of the Service. You acknowledge and agree that the entire risk arising out of your use of the Service and any third-party services (including but not limited to third-party service providers or other services and products) rests entirely with you and you shall have no recourse whatsoever against the Company.
Limitation of Liability
for personal injury or loss of life or property to you or for any reason whatsoever (including but not limited to acts of God, including but not limited to natural disasters, typhoons or floods, acts of war, civil unrest or strikes or the anticipation of such events, criminal acts or omissions of third parties, industrial action, unforeseen traffic conditions, seizure under legal process, national or local disruption of air, ground or water transport networks or failure of communications or information systems).
The Company does not provide any warranty, guarantee or promise that its technology or customer service will work as expected on your phone, computer, tablet or other device.
The Company does not guarantee or warrant the availability, reliability, timeliness, accuracy or quality of the Service or third-party service providers.
The Company assumes no liability for any loss or damage, including, without limitation, any injury you may suffer, any damage or loss to property owned or possessed by you, or any consequential loss and damage caused by the Third Party Providers' services and matters relating to the Third Party Service Providers.

This Agreement, as modified from time to time by the Terms of Use, may not be assigned by you without the prior written approval of the Company, but may be assigned without the Company's consent. Any purported assignment by you in violation of this section will be void.
General
This Agreement is governed by China law, without regard to the choice or conflict of law provisions of any jurisdiction, and any dispute, action, claim or cause of action arising out of or relating to the Terms of Use or the Services shall be submitted to the Asian International Arbitration Centre ("AIAC") under the rules of AIAC as modified or amended from time to time (the "Rules") by a sole arbitrator appointed by mutual agreement of the parties (the "Arbitrator"). If the parties cannot agree on an Arbitrator, the President of AIAC shall appoint the Arbitrator in accordance with the Rules.
The seat and venue of the arbitration shall be Kuala Lumpur, the language shall be English, and the arbitrator’s fees shall be borne equally by the parties, except that the arbitrator may require that such fees be borne in such other manner as the arbitrator determines is necessary to make this arbitration clause enforceable under applicable law.
There is no joint venture, partnership, employment, or agency relationship created between you, the Company, or any Third-Party Provider as a result of the Terms of Use or use of the Service.
If any provision of the Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the maximum extent required by law. This shall also, but not be limited to, the applicable law and jurisdiction applicable to the foregoing.
The Company's failure to enforce any right or provision in the Terms of Use shall not constitute a waiver of such right or provision unless acknowledged and agreed to by the Company in writing. The Terms of Use constitute the entire agreement between you and the Company and supersede all prior or contemporaneous negotiations or discussions, whether written or oral, between the parties regarding the subject matter contained herein, if any.
You hereby agree that the Company shall have the right to terminate this Agreement immediately if you are found to have violated any of the terms of this Agreement. For the avoidance of doubt, termination of this Agreement shall not require the Company to compensate, reimburse or pay any expenses incurred by you in obtaining services from third-party transportation providers under this Agreement.
